Terms of Use — Navigene Genetic Science Private Limited

1) Acceptance & Scope
- By accessing or ordering any service on Navigene’s website/portal/app (“Platform”), you agree to these Terms of Use (“Terms”).
- The services offered are those listed on the Platform’s Services List (test menus, home collection, teleconsultations/genetic counseling, reports, subscriptions, etc.).
- These Terms may change at any time; your continued use constitutes acceptance of the updated Terms. Keep checking this page for revisions.
- Electronic contracts/“click-wrap” acceptances are legally valid under Section 10A of the IT Act, 2000; your “I Agree”, OTP, or continued use confirms consent.
2) Eligibility
- You must be 18+ to use paid services; for minors, a parent/guardian must create the order and provide lawful consent.
- Maintain accurate profile details (name, age/DOB, gender, phone, email, address). You are responsible for credentials, OTPs, device security, and all activities under your account.
- We may refuse/disable accounts for policy breaches, fraud, or regulatory concerns.
3) Ordering
- Your order is an offer; Navigene’s order confirmation (email/SMS/in-app) is acceptance.
- All orders remain subject to service availability, sample suitability, and regulatory requirements.
- If a booking cannot be fulfilled (e.g., logistics/availability), Navigene may cancel and refund applicable amounts as per the Refunds section.
4) Pricing, Taxes, Payment
- Prices are shown in INR and may change without prior notice; the price applicable is the price at payment completion.
- Prices are inclusive of applicable taxes/charges (unless otherwise stated).
- Payment modes: credit/debit card, net banking, UPI/wallets via compliant payment gateways. (Card/UPI data is processed by third-party payment aggregators, not stored by Navigene.)
5) Home Collection, Logistics & Delivery Timelines
- Home visit/home delivery may attract a convenience fee.
- Reasonable efforts: typical turnaround targets are communicated at booking; delays may occur due to sample quality, logistics, instrument QC, re-runs, power/network outages, or force majeure.
- Sample rejection/recollection: Hemolysis, insufficient volume, improper storage/transport, or identification mismatch may require recollection at no/nominal cost per policy.
6) Medical Use & Counseling Disclaimers
- Reports are for informational/clinical use by qualified healthcare professionals only. They do not substitute for a physician’s diagnosis or ongoing care.
- Genetic tests may require pre/post-test counseling and explicit consent as per applicable medical ethics and guidelines.
7) Communications Consent
- You authorize Navigene to contact you via SMS/voice/email/in-app for OTP/authentication, bookings, reports, reminders, service updates, and legally required notifications.
- Marketing communications are optional; you may unsubscribe anytime (see Privacy Policy).
8) Use of the Platform & User Content
- Prohibited: unlawful, harmful, defamatory, obscene, infringing, misleading content; malware/automations; scraping; interfering with Platform security; attempts to reverse engineer.
- You grant Navigene a limited license to use content you submit solely to operate/improve services.
- Navigene may remove content and/or suspend access for policy or legal violations.
9) Information Sheets & Advice Limitations
- Any Service Information Sheet (storage, preparation, fasting, post-test notes) is informational; follow your doctor’s advice for diagnosis/treatment decisions.
- Navigene is not liable for reliance on general information or advice distorted over phone/email due to transmission issues.
10) Claims & Service Issues
- Notify Navigene in writing within 10 days of report availability/delivery for issues like non-performance, missing items, or manifest errors so we can investigate and rectify.
11) Refunds, Cancellations & Rescheduling
- Customer-initiated: We’ll try to accommodate amendments/cancellations before sample collection/processing; fees may apply where costs were incurred (logistics/kits/consumables/slots).
- Navigene-initiated: Navigene may cancel for unavailability, regulatory concerns, force majeure, or safety; prepaid amounts are refunded where services weren’t rendered.
- Refunds are credited to the original payment method within standard banking timelines (subject to payment gateway/RBI rules).
12) Third-Party Services & Links
- Payment gateways, logistics partners, telehealth tools, and lab instruments may be third-party provided. Navigene isn’t responsible for third-party sites or their policies; use at your discretion.
13) Intellectual Property
- The Platform, its UI, trademarks, text, graphics, report formats, and underlying software are Navigene’s IP or licensed to Navigene.
- You may not copy, modify, distribute, mirror, or create derivative works except as permitted under these Terms or with prior written consent.
14) Compliance & Quality
- Navigene endeavors to comply with applicable regulations/standards (e.g., diagnostics quality norms, accreditation where applicable) and to maintain robust QMS and audit trails.
15) Limitation of Liability
- Navigene’s total liability for any claim, dispute, or cause of action arising out of or in connection with a specific service shall be limited to the total amount paid by the Customer for that service.
- Navigene will not be liable for any indirect, incidental, consequential, or special damages, including but not limited to loss of business, profits, goodwill, or data, even if the possibility of such damages was communicated.
- By using the services, the Customer acknowledges that this limitation represents a fair and reasonable allocation of risk in relation to the nature of the services provided.
16) Indemnity
- You agree to indemnify and hold harmless Navigene, its officers, employees, and partners from claims/losses arising from your unlawful use, breach of these Terms, or violation of third-party rights.
17) Force Majeure
- Navigene is not liable for delay or failure due to events beyond reasonable control (natural disasters, epidemics, strikes, war, acts of government, network/power failures, cyber incidents). Services may be suspended or canceled with appropriate refunds where applicable.
18) Termination & Suspension
- Navigene may suspend/terminate access or bookings immediately for fraud, security risks, legal non-compliance, or material breach.
- Clauses intended to survive (IP, privacy, limitation, indemnity, governing law/jurisdiction) survive termination.
19) Changes to Services/Terms
- Navigene may modify, suspend, or discontinue any service or feature. Updates to these Terms will be posted with a revised “Last updated” date; continued use is deemed acceptance.
20) Notices
- Official notices are sent via email/SMS/in-app to your registered coordinates and deemed received upon successful dispatch. You must keep your contact details up to date.
21) Governing Law & Exclusive Jurisdiction (Mumbai)
- These Terms are governed by the laws of India.
- Exclusive jurisdiction: All disputes shall lie only with the courts at Mumbai.
